Terms of Service

1. Agreement to Terms
By accessing or using save365.ca (the “Service”), you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy, which is incorporated by reference. If you do not agree to all of these Terms, do not use the Service.
These Terms also incorporate and require compliance with the Microsoft APIs Terms of Use and the Microsoft identity platform Terms of Use, as both apply to applications that access Microsoft services.
2. About the Service
save365.ca is an independent Microsoft 365 license auditing tool. The Service connects to your Microsoft 365 tenant using read-only OAuth 2.0 application permissions, granted explicitly by your tenant's Global Administrator through Microsoft's official admin consent screen. The Service analyzes license assignment and user activity data and presents findings to help you identify unused or underutilized licenses.
save365.ca is not affiliated with, endorsed by, or sponsored by Microsoft Corporation. “Microsoft 365,” “Azure,” and “Microsoft Entra” are trademarks of Microsoft Corporation.
The Service does not:
- Make any changes to your Microsoft 365 tenant, users, licenses, or settings
- Store or transmit your Microsoft account password or credentials
- Access email content, files, documents, calendar events, or chat messages
- Retain your Microsoft OAuth access tokens after a scan session completes
- Use your organizational data for advertising, profiling, or any purpose other than the audit
3. Eligibility and Authority
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that:
- You have the legal capacity to enter into a binding agreement
- You are a Microsoft 365 Global Administrator or have been delegated administrative authority to grant the permissions required by the Service on behalf of your organization
- Your use of the Service complies with all applicable laws and regulations
- If you are accepting these Terms on behalf of an organization, you have the authority to bind that organization to these Terms
4. Account Registration and Authentication
Access to the Service requires signing in with a Microsoft work or school account via Microsoft's OAuth 2.0 identity platform. You are responsible for:
- Maintaining the confidentiality of your Microsoft account
- All activities that occur under your account
- Notifying us immediately of any unauthorized use at hello@save365.ca
5. Permissions and Consent
To perform a license audit, the Service requests the following read-only Microsoft Graph API application permissions via admin consent:

All permissions are application-level, read-only, and follow the principle of least privilege. No write, send, or modify permissions are requested. Admin consent can be revoked at any time from Microsoft Entra admin center → Enterprise applications → save365 → Delete.
6. Data Use Restrictions
In compliance with the Microsoft APIs Terms of Use, we commit that data accessed through Microsoft Graph APIs will:
- Only be used for the specific purpose for which you granted consent (license auditing)
- Not be used for advertising or marketing to users
- Not be sold, rented, or shared with third parties for commercial purposes
- Not be used to build databases or data products independent of the Service
- Not be scraped or aggregated beyond what is necessary to provide the Service
- Be deleted when you close your account or revoke consent (within 30 days)
- Be kept up to date in accordance with corrections or deletions in Microsoft systems
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of applicable laws or regulations
- Use the Service to audit a Microsoft 365 tenant for which you lack administrative authority
- Attempt to gain unauthorized access to any part of the Service or its infrastructure
- Interfere with, disrupt, or overload the Service or its underlying systems
- Reverse engineer, decompile, disassemble, or attempt to derive source code from the Service
- Circumvent any security, authentication, or access control mechanisms
- Use automated tools to access the Service at a rate that burdens our infrastructure
- Impersonate any person or entity or misrepresent your affiliation
- Resell, sublicense, or redistribute the Service without prior written consent
8. Privacy
Our Privacy Policy describes in detail how we collect, use, store, and protect your information and your organization's data. By using the Service, you consent to those practices. Our privacy practices are designed to be at least as protective as the Microsoft Privacy Statement, as required by the Microsoft APIs Terms of Use.
9. Intellectual Property
The Service, its codebase, user interface, and content are the exclusive property of save365.ca and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. No other rights are granted.
You retain all rights in your organization's data. By using the Service, you grant us a limited, temporary license to access and process your Microsoft 365 data solely to provide the Service to you.
10. Disclaimers
The Service is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that: (a) the Service will be uninterrupted or error-free; (b) results will be accurate, complete, or current; or (c) the Service will meet your specific requirements. License usage data is sourced from Microsoft Graph API reports, which may have processing delays of up to 48 hours.
We are not responsible for actions taken or not taken by you based on the Service's output. Decisions to modify license assignments remain solely with you.
11. Limitation of Liability
To the fullest extent permitted by applicable law, save365.ca and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, revenue, goodwill, or business interruption, arising out of or relating to your use of or inability to use the Service.
Our total aggregate liability to you for all claims arising out of or relating to the Service shall not exceed the greater of (a) the amounts you paid us in the twelve months preceding the claim or (b) CAD $100.
12. Indemnification
You agree to indemnify, defend, and hold harmless save365.ca and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including Microsoft's terms of service; or (d) your violation of any applicable law or regulation.
13. Termination
Either party may terminate the use of the Service at any time. We reserve the right to suspend or terminate your access without notice if we reasonably believe you have violated these Terms, the Microsoft APIs Terms of Use, or any applicable law.
To terminate your account: revoke the Service's consent in Microsoft Entra admin center and contact us at hello@save365.ca to request deletion of your account data. We will process deletion within 30 days.
Sections 6 (Data Use Restrictions), 9 (Intellectual Property), 11 (Limitation of Liability), 12 (Indemnification), and 15 (Governing Law) survive termination.
14. Third-Party Services and Microsoft Terms
The Service integrates with Microsoft's identity platform and Microsoft Graph API. Your use of Microsoft's services is governed by Microsoft's own terms, including the Microsoft Services Agreement and your organization's Microsoft 365 subscription agreement. These Terms do not modify or supersede Microsoft's terms.
15. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.
Before initiating formal legal proceedings, both parties agree to attempt good-faith resolution by contacting legal@save365.ca.
16. Changes to Terms
We reserve the right to modify these Terms at any time. For material changes, we will update the “Last updated” date and notify active users by email where required by law. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
